Rebranding, shifting business focus, or navigating trademark disputes often necessitates a change in the legal name of the company.
Name Availability Check: Pass a Board Resolution and apply for the new name using the RUN (Reserve Unique Name) web service on the MCA portal.
Special Resolution: Once the name is approved (valid for 20 days for existing companies), hold an EGM to pass a Special Resolution to change the name
and alter the MOA & AOA.
Filing Form MGT-14: File the special resolution with the MCA within 30 days.
Filing Form INC-24: Apply for the final approval of the name change.
Fresh Certificate: The ROC issues a fresh Certificate of Incorporation (COI) reflecting the new name. (Note: The PAN, TAN, and bank accounts must then be
updated).
