Conditions for Fast Track Strike Off:

  • The company has failed to commence business within 1 year of incorporation.

  • The company has not been carrying on any business for the preceding 2 financial years and hasn’t sought “Dormant” status.

Detailed Process:

Clear All Liabilities: Settle all outstanding dues with creditors, employees, and tax departments.

Close Bank Accounts: Officially close the company’s corporate bank accounts and obtain a closure certificate.

Board & Shareholder Resolution: Hold a meeting and pass a special resolution (requiring 75% majority) to close the company.

NOC Preparation: Obtain No Objection Certificates from regulatory bodies if applicable.

Filing Form STK-2: File the strike-off application with the MCA, accompanied by an indemnity bond (STK-3) and an affidavit (STK-4) from all directors.

MCA Approval & Publication: The ROC will publish a public notice, and if there are no objections, the company will be legally dissolved.
