The One Person Company (OPC) is a fantastic structure for solo entrepreneurs starting out. However, scaling up an OPC into a standard Private Limited Company is inevitably necessary when business operations expand, the founder wishes to add co-founders, or the company requires external equity funding.
Historically, an OPC was legally forced to convert into a Pvt. Ltd. if it exceeded ₹2 crore in annual turnover or ₹50 lakh in paid-up capital. While this mandatory rule has been relaxed by the MCA, voluntary conversion is still highly sought after.
Venture Capitalists (VCs) and institutional angel investors structurally cannot, and will not, invest in an OPC. They require a standard Private Limited cap table to issue preference shares and manage board seats.
Conversion removes the “solo” limitation, allowing for the addition of multiple directors (bringing diverse expertise) and up to 200 shareholders.
A standard Private Limited structure allows the company to create Employee Stock Ownership Plans (ESOPs), which are vital for attracting and retaining top-tier talent in competitive industries.
Board Resolution: Pass a resolution deciding to convert. You must secure commitments to increase the number of directors to at least two, and shareholders to at least two.
Comprehensive Alteration of MOA & AOA: Radically modify the Memorandum and Articles of Association to strip away OPC-specific rules and reflect the governance structure of a standard Private Limited Company.
Shareholder Approval: Pass a Special Resolution for the conversion and the adoption of the new MOA/AOA.
Filing Form INC-6: Submit the formal application to the ROC. This form must be bundled with the altered MOA/AOA, the latest audited financial statements, a declaration by directors confirming the company has no severe debt defaults, and a list of proposed members/directors.
Fresh Certificate Issuance: The ROC scrutinizes the documents and, upon satisfaction, issues a new Certificate of Incorporation reflecting the “PVT LTD” status, unlocking your growth potential.
